Terms & Conditions of SALE EFFECTIVE AS OF FEBRUARY 28, 2020

 

1.) AGREEMENT:

Under this document of Terms and Conditions, all quotations provided by Proto Edge, Inc (ProtoEdge™) to sell products and /or services constitute ProtoEdge’s quotation to customer (Buyer), and ProtoEdge™ reserves the right at any time prior to acceptance to reject any order for any reason. Upon such agreement, these Terms and Conditions of Sale constitute the entire agreement between Proto Edge, Inc and the Buyer. Any prior or contemporaneous understandings, agreements, and representations, oral or written, are superseded by these terms and conditions. No modification to these terms and conditions shall be valid unless in writing and signed by Seller.

 

2.) PRICING:

All pricing is subject to change. For all prices, products, and service offers. ProtoEdge™, reserves the right to make adjustments due to changing market conditions, changes in design, geometric tolerances, quantities, raw materials, technology discontinuation, manufacturer price changes, errors in advertisements and other extenuating circumstances. While ProtoEdge™ makes reasonable efforts to include accurate and up-to-date information on the Site, we make no warranties or representations as to the Site's accuracy. ProtoEdge™ assumes no liability or responsibility for any errors or omissions in the content on the Site.

 

3.) QUALITY:

ProtoEdge™ stringent quality control is an integral part of our philosophy and make sure the results of fabricated parts/services are done to what is expected for requirements with most major certifications, including ISO. The Buyer is fully responsible for the accuracy of the supplied 3D CAD Data Files and /or 2D Drawing Print (s). 2D drawing prints will be used for general information and tolerances only. Since geometric dimensioning and tolerancing are highly dependent on the material selected and on the part design. ProtoEdge™ will attempt on a best effort basis and results will very base on geometry specific conditions and not guaranteed. If required, we can provide additional documentation on material certs, certificates of conformance, and inspection data (for additional price on inspection data only). Conditions for this information should be requested upon order placement as it may become unable to get some of the required information. If there is any quality control issues, due to the characteristics of materials used for samples or components or other reasons, the Buyer must contact ProtoEdge™ immediately at 612-432-4303, so we can make it right, otherwise it will be deemed that the Buyer accept the samples or finished goods.

 

4.) PAYMENT TERMS:

ProtoEdge™ Reserves All Rights to Re-evaluate All prices and subject to change without notice. To submit initial orders by new customers, Buyer must provide a Company’s PO, and must pay any and all fees due either in advance through the use of ACH (direct deposit), Pay in Advance C.O.D., Credit Card, 50% Deposit-with balance due Net 15 days, until Net 30 days pursuant to such credit terms are processed and established pre-approval by ProtoEdge™ for work to start. Open Credit Customers with projects that are quoted over $10,000.00 U.S. dollars will require 50% deposit, and 50% upon approval, ( when dies or tooling are involved), tooling must be paid in full prior to production run for work to begin. Normal terms are Net 30 days. ProtoEdge™, may invoice components of an order separately. Buyer agrees to pay interest on all past-due amounts at the highest rate allowed by law from the due date thereof. ProtoEdge™ accept, (American Express, MasterCard, and Visa). ProtoEdge™ will also accept company certified checks, money orders, and wire transfers at time of order only, (Credit card payments will incur an additional charge of 3.5% on all invoices over $1,000.00 U.S.).

 

5.) TAXES:

Prices does not include federal, state or local taxes, nor VAT and Import duties in Buyer own country applicable to the products or services sold. Buyer, in addition to the prices quoted or invoiced, shall pay any tax, fee, or charge of any nature whatsoever imposed by any government authority.

 

6.) CANCELLATION POLICY:

All work on purchase orders may be stopped upon Buyer's request if production has not started. Dies, patterns, molds, tooling, and parts that are in production cannot be canceled. Buyer agrees to pay ProtoEdge™ A 20% Cancellation Fee for all work in process prior to such notice plus the actual and reasonable costs incurred by ProtoEdge™ subsequent to the receipt of such notice.

 

7.) SHIPPING METHODS:

All products are sold F.O.B. Maple Grove, MN. Normal method of shipping is FedEx or UPS, Ground or Overnight. Other methods are available but must be specified on P.O (or at time of order). Proto Edge, Inc will not be liable for the shipment of components that go any method other than ground or overnight shipping. Please be advised that FedEx and UPS limit a maximum declared value of $500 per shipment. Proto Edge, Inc will not be held liable for any damage resulting from any cause beyond ProtoEdge™’s control.

 

8.) LIMITATION OF WARRANTY AND CLAIMS:

The Buyer shall inspect durable goods immediately on arrival and shall within 3 days after receipt of shipment give written notice to ProtoEdge™ of any matter that may allege that the goods are not in accordance with the agreement. If the Buyer fails to give such notice, the goods shall be deemed to be in all respects in accordance with the agreement and the Buyer shall be bound to accept and pay for goods in accordance with this agreement.

 

9.) CONFIDENTIAL INFORMATION:

We take strict governance to insure that your product design and details remain yours. All employees of ProtoEdge™ and off-site coordinate work with our network fabrication partners are under confidential non-disclosure agreements. Visitors are accompanied at all times to prevent unauthorized access to classified information. A Buyer will protect the confidential material and information, which may be disclosed between Proto Edge, Inc and the Buyer. Confidential Information means any information or material that is proprietary to Proto Edge, Inc whether or not owned or developed by ProtoEdge™, which is not generally known other than by ProtoEdge™ and which A Buyer may have obtained through any direct or indirect contact with Proto Edge, Inc.

 

10.) PATENT INFRINGEMENT:

Buyer agrees to indemnify ProtoEdge™ and hold it harmless from and against all liability, loss, damage and expense, including reasonable counsel fees, resulting from any actual or claimed trademark, patent or copyright infringement, or any litigation based thereon, with respect to any part of the durable goods covered by this order, and such obligation shall survive acceptance of the goods and payment therefore by the Buyer.

 

11.) DESIGN PROCESS INDEMNITY AGREEMENT:

For 3D CAD model design, mock-up, prototype(s), or production run received, Buyer agrees to indemnify and hold harmless Proto Edge, Inc from any claim, action, liability, loss, damage or suit, arising from the sale or use of any designs, mock-up, prototype(s), or production run produced by ProtoEdge™ or any product or process based on such designs, mock-up, prototype(s), or production run.

 

12.) Proto Edge, Inc.

ProtoEdge™ makes no claims to engineering or certification of such, be it mechanical, electrical, packaging or other requested by the Buyer. Proto Edge, Inc makes no claims or guarantees as to the specific implications, materials, mechanical or physical characteristics of the design, mock-up, prototypes or production run components.

 

Final approval is left to the discretion of the Buyer.
